Terms of Service

By clicking "I Accept," creating an account, or otherwise accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and "you" refers to both you individually and the organization.

You must be at least 16 years old to use the Service. By agreeing to these Terms, you represent and warrant that:

• You are at least 16 years of age.
• You have not been previously suspended or removed from the Service.
• Your use of the Service complies with all applicable laws and regulations.
• If acting on behalf of an organization, you have the authority to bind that organization.

VisionKai provides AI-powered hiring and recruitment services through VKHire, including but not limited to:

• AI-automated first-round candidate screening interviews.
• CV and resume parsing, matching, and ranking against job requirements.
• Job posting creation and management tools.
• Candidate pipeline management and collaboration features.
• AI-generated interview summaries, candidate scores, and evaluation reports.
• Hiring analytics and recruitment intelligence dashboards.

We may offer a free tier ("Free Plan") and subscription-based paid plans ("Paid Plans"). Features and limitations vary by plan.

To use the Service, you must create an account. You agree to:

• Provide accurate, complete, and current registration information.
• Maintain the confidentiality and security of your account credentials.
• Notify us immediately of any unauthorized use of your account.
• Accept responsibility for all activities that occur under your account.

We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe are compromised.

When using the Service, you agree to:

• Inform all candidates that VKHire's AI will be conducting screening and processing their data.
• Obtain all necessary consents required under applicable data protection and employment laws.
• Not use the Service to screen candidates in a discriminatory or unlawful manner.
• Comply with all applicable local, state, national, and international laws and regulations regarding hiring and recruitment.
• Not use AI-generated scores, rankings, or summaries as the sole basis for employment decisions without human review.

You may NOT use the Service to:

• Violate any laws, regulations, or third-party rights, including employment and anti-discrimination laws.
• Process or screen candidates without proper consent.
• Infringe on intellectual property rights of others.
• Transmit malware, viruses, or other harmful code.
• Harass, threaten, abuse, defame, or harm any person, including candidates.
• Attempt to gain unauthorized access to our systems, networks, or other users' accounts.
• Use for competitive intelligence, reverse engineering, or benchmarking against a competing product.
• Circumvent any security features, rate limits, or usage restrictions.
• Generate spam, unsolicited communications, or fraudulent job postings.

We reserve the right to investigate and take appropriate action against violations, including suspension or termination of your account.

The Service, including all software, algorithms, interfaces, designs, text, graphics, logos, and other materials ("VKHire Materials"), are owned by VisionKai and are protected by copyright, trademark, patent, and other intellectual property laws.

Your Content

You retain ownership of all content you upload, create, or generate through the Service ("Your Content"), including job descriptions, candidate data, and evaluation notes. By using the Service, you grant VisionKai a limited, non-exclusive, worldwide, royalty-free license to process Your Content solely for the purpose of providing, maintaining, and improving the Service.

Feedback

If you provide feedback, suggestions, or ideas regarding the Service ("Feedback"), you grant VisionKai an unrestricted, perpetual, irrevocable, non-exclusive, royalty-free right to use, incorporate, and commercialize the Feedback for any purpose.

Your use of the Service is governed by our Privacy Policy, which explains how we collect, use, and protect your data. By using the Service, you acknowledge and consent to the data practices described therein.

For enterprise customers, we offer a Data Processing Agreement (DPA) that addresses GDPR, CCPA, and other data protection requirements. Contact connect@visionkai.com for details.

• Paid Plans are billed in advance on a monthly or annual basis, as selected at the time of purchase.
• All fees are stated in U.S. dollars and are exclusive of applicable taxes.
• Subscription renewals are automatic unless canceled before the renewal date.
• Refunds are generally not provided, except as required by applicable law or at our sole discretion.
• We reserve the right to change pricing with at least 30 days' advance written notice. Price changes take effect at the start of the next billing cycle.
• If payment fails or your account becomes delinquent, we may suspend access to Paid Plan features.

Either party may terminate this agreement:

• By You: Cancel your subscription at any time through your account settings or by contacting us. Cancellation takes effect at the end of the current billing period.
• By VisionKai: We may suspend or terminate your account for violation of these Terms, non-payment, or if required by law. We will provide notice when reasonably possible.

Upon termination:

• Your right to access the Service immediately ceases.
• You may request export of Your Content within 30 days of termination.
• After the 30-day period, Your Content may be permanently deleted in accordance with our data retention policy.
• Sections that by their nature should survive termination (e.g., intellectual property, disclaimers, limitations of liability, governing law) will remain in effect.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

• VISIONKAI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL.
• OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT PAID BY YOU TO VISIONKAI IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).
• THESE LIMITATIONS APPLY REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE).

You agree to indemnify, defend, and hold harmless VisionKai, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from:

• Your use of the Service.
• Your violation of these Terms.
• Your violation of any applicable law or third-party rights, including employment or anti-discrimination laws.
• Your failure to obtain proper consent from candidates for AI screening and data processing.
• Your Content or any content you submit through the Service.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time. We may update these Terms from time to time. Material changes will be communicated via email or prominent notice on our website at least 30 days in advance. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect.

These Terms, together with our Privacy Policy, constitute the entire agreement between you and VisionKai regarding the Service and supersede all prior agreements and understandings.
